In consideration of our clients’ target markets, tax analysis, fundraising profile, and regulatory compliance, we advise (along with external consultants) on suitable jurisdictions in which to base the fundraise along with each option’s positive and negative aspects as specifically applied to our clients’ particular circumstances.
Once a jurisdiction has been determined, we assist our clients to determine all aspects that need compliance for both the fundraising process as well as executing the business. These may include but are not limited to KYC & AML procedures, financial and regulatory compliance, technical and operational requirements, and licensing.
Company Formation & Secretarial Services
We assist clients to incorporate the relevant company in the selected jurisdiction and structure it accordingly. We provide maintenance, administration and company secretarial services and are able to facilitate virtual office, domain name, mail forwarding, document management and recordkeeping services.
We assist in the review and/or drafting of all the documentation required at any stage during the fundraising process including but not limited to the white paper, the simple agreement for future tokens (SAFT), prospectus, private placement memorandum, company policies, terms and conditions, intellectual property licensing agreements, offering or subscription agreements, technology development agreements, and others.
Intellectual Property Review
We review our clients’ trade processes and procedures, marks, know-how and other aspects of the business model to determine if there are any that require protection or may be better utilized. We are able to assist in the proper protection of any intellectual property aspects as well as advising on the best utilization strategy.
